In line with the company's target to integrate the airline business into the Garuda Indonesia Group, as well as expanding the Garuda Indonesia Group's flight network and market segmentation, which currently focuses on the full service segment (Garuda Indonesia) and the low cost segment (Citilink), it is deemed necessary to map out a business strategy before the integration is carried out.

Scope of Work
  1. Airline Business Integration work scope:
    • Implementation Master Schedule;
    • Presentation materials required for each correspondence with relevant stakeholders;
    • Report on the preparation of the Study of the Airline's Business Integration Plan into the Garuda Indonesia Group;
    • Study of the Roadmap for airline business integration schemes;
    • Conclusions and recommendations for integration schemes;
    • Final presentation
  2. Scope of Due Diligence work:
    • Financial Due Diligence;
    • Business &Operational Due Diligence;
    • Legal &Compliance Due Diligence.
Evaluation Method Merit
Qualification Vendor
  1. Be a legal entity and have a business license that operates in the field of Providing Strategic Management Consultant Services and/or Capital Market Financial Consultants;
  2. Have experience and expertise in the aviation &airline industry (preferably those who have exposure to Indonesian airline business practice);
  3. Have experience in the field of mergers and acquisitions for large-scale companies (company valuation more than 5 trillion rupiah);
  4. Required to use official data and references in accordance with applicable legal provisions;
  5. Required to maintain the confidentiality of documents and information provided by Garuda and stakeholders;
  6. Willing to follow Garuda's applicable procurement procedures;
  7. Not currently in a legal dispute or bankruptcy which could cause conflicts of interest and failure of procurement participants to fulfill obligations and/contracts;
  8. Willing to sign an integrity statement.
